Common use of Prepaid Items Clause in Contracts

Prepaid Items. All of the Asset Sellers' deferred charges, advance payments, prepaid and deferred items (including prepaid rent), credits, security and other deposits, claims for refunds, rights of offset, and credits of all kinds, including Taxes, in each case to the extent not related to the Purchased Assets or the Business;

Prepaid Items. Prepaid Items. All of the Asset Sellers' deferred charges, advance payments, prepaid and deferred items (including prepaid rent), credits, security and other deposits, claims for refunds, rights of offset, and credits of all kinds, including Taxes, in each case to the extent not related to the Purchased Assets or the BusinessBusiness as such shall exist at the Closing Time;

All of the Asset Sellers' Seller's deferred charges, advance payments, prepaid and deferred items (including prepaid rent), credits, rebates due from suppliers, advance payments for returnable containers, security and other deposits, claims for refunds, rights of offset, and credits of all kindskinds with respect to the U.S. Business, including Taxes, in each case to the extent not Taxes related to the Purchased Assets or the Business;real and personal property and including advance payments made under customer purchase Contracts, car leases, computer maintenance Contracts and exhibition shows (other than those prepaid items referred to in Section 2.2(b)).
