Preparation and Amendment of a POC Plan. Each of Merck and Moderna will have the right to propose modifications or amendments to a POC Plan; provided that any modifications or amendments to any POC Plan that are proposed by either Party will be subject to review by the POC Committee and written approval by the Parties [***]; provided that neither Party may [***].
