Preparation and Approval of Master Development Plan and Master Financial Plan. For the first 18 months after issuance of the Project NTP2, Developer shall work closely with TxDOT to prepare the Master Development Plan and the Master Financial Plan, both in compliance with the procedures set forth in the approved Project Management Plan for the Project and in accordance with the requirements of this Agreement. The Master Development Plan and the Master Financial Plan will build upon the initial Conceptual Development Plan and Conceptual Financial Plan included with Proposal. These conceptual plans are attached to this Agreement as Exhibits B and C and shall be disclosed to the public after execution of the Agreement. Developer and TxDOT may mutually agree to incorporate into the Master Development Plan, including the Master Financial Plan, components of or concepts contained in the proposals submitted by unsuccessful proposers in response to the RFP and components or concepts generated from other sources, including TxDOT, regional mobility authorities and metropolitan planning organizations. The Master Development Plan and Master Financial Plan shall be subject to TxDOT’s written approval in its sole discretion. Such plans shall be integrated and consistent with each other. Agreement by the parties on the scope of and terms of Developer’s compensation for Technical Support Services related to the NEPA process and Update Work, including the terms of compensation for Developer’s unpaid costs for Update Work in the event of a Risk Event, shall be a condition to approval of the Master Development Plan.
