Preparation and Finalization of Pre-Negotiated License Agreements. Promptly after NN's exercise, under SECTION 4.2, of an RoW Option or BC Option for a given ZSS after the expiration or termination of the Medical Hypothesis Option Period and prior to the expiration or termination of the PLPC Option Period: (a) ZGI shall deliver to NN a draft written license agreement for the applicable PLPC Pre-Negotiated License(s); and (b) NN and ZGI shall commence good faith, arms' length negotiations regarding all remaining terms of such PLPC Pre-Negotiated License.
