Common use of Preparation of Closing Balance Sheet Clause in Contracts

Preparation of Closing Balance Sheet. As promptly as practicable after the Closing Date, the Parent will cause the Closing Balance Sheet to be prepared and will prepare a certificate based on such Closing Balance Sheet setting forth its calculation of Closing Net Worth. As promptly as practicable, but no later than ninety (90) days, after the Closing Date, the Parent will cause the Closing Balance Sheet to be delivered to the Principal Shareholders.

As promptly as practicable after the Closing Date, the Buyer Parent will will, at its sole expense, cause to be prepared the Closing Balance Sheet to be prepared by its independent public accountants and will prepare a certificate based on such Closing Balance Sheet setting forth its calculation of Closing Net WorthAsset Value. As promptly as practicable, but no later than ninety sixty (9060) days, after the Closing Date, the Buyer Parent will cause the Closing Balance Sheet to be delivered to the Principal ShareholdersSeller Parent.
