Preparation of Company Statement; Shareholders' Meeting; Further Actions. (a) The Company shall file the Company Statement with the SEC. Purchaser shall cooperate with the Company in connection with the preparation of the Company Statement including, but not limited to, furnishing to the Company any and all information regarding Purchaser and any of its affiliates as may be required to be disclosed therein. The Company shall use its commercially reasonable efforts to cause the Company Statement to be mailed to the Company's shareholders as promptly as practicable after the date hereof.
