PREPARATION OF NET DEBT STATEMENT AND WORKING CAPITAL STATEMENT. 2.1 The Purchaser shall, as promptly as practicable and in any event no later than seventy-five (75) calendar days after Completion, prepare and deliver to the Seller the draft Completion Balance Sheet and the draft Post-Completion Statement.
