Common use of Preservation of Existence; Compliance with Law Clause in Contracts

Preservation of Existence; Compliance with Law. Seller shall: (i) Preserve and maintain its legal existence; (ii) Comply with the requirements of all applicable laws, rules, regulations and orders, whether now in effect or hereafter enacted or promulgated by any applicable Governmental Authority (including, without limitation, all environmental laws); and (iii) Preserve and maintain all material rights, privileges, licenses, franchises, permits or other approvals necessary for Seller to conduct its business and to perform its obligations under the Facility Documents, and shall conduct its business strictly in accordance with applicable law.
