Common use of Preserve Goodwill Clause in Contracts

Preserve Goodwill. The Vendor shall use commercially reasonable efforts to preserve, and cause the Corporation to preserve intact, and the Corporation shall use commercially reasonable efforts to preserve intact, the Business and the property, assets, operations and affairs of the Corporation and to carry on the Business and the affairs of the Corporation as currently conducted, and to promote and preserve for the Purchaser the goodwill of suppliers, customers and others having business relations with the Corporation;
