Common use of Press Releases and Communications Clause in Contracts

Press Releases and Communications. No press release or public announcement related to this Agreement or the transactions contemplated herein shall be issued or made without the joint approval of the Buyer and the Seller, unless required by law (in the reasonable opinion of legal counsel) in which case the Buyer and the Seller shall have the right to review such press release or announcement prior to publication.

Press Releases and Communications. No press release or public announcement related to this Agreement or the transactions contemplated herein or any other announcement or communication to the employees, purchasers, or suppliers of the Company or any of its Subsidiaries shall be issued or made by any party hereto without the joint approval of the Buyer and the SellerSellers, unless required by law applicable Laws (in the reasonable opinion of legal counsel) in which case the Buyer and the Seller Sellers shall have the right to review and provide suggested comments concerning the disclosure contained in such press release release, announcement or announcement communication prior to issuance, distribution or publication.

No press release or public announcement related to this Agreement or the transactions contemplated herein herein, or prior to the Closing, any other announcement or communication to the employees, customers or suppliers of the Companies related to this Agreement or the transactions contemplated herein, shall be issued or made by any party hereto without the joint written approval of the Buyer and the SellerRepresentative, unless required by law (in the reasonable opinion of legal counsel) in which case the Buyer and the Seller Representative shall have the right to review such press release release, announcement or announcement communication prior to its issuance, distribution or publication.

No press release or public announcement related to this Agreement or the transactions contemplated herein herein, or prior to the Closing, any other announcement or communication to the employees, customers or suppliers of the Company and the Subsidiaries, shall be issued or made by any party hereto without the joint written approval of the Buyer and the Seller, unless required by law (in the reasonable opinion of legal counsel) in which case the Buyer and the Seller shall have the right to review such press release release, announcement or announcement communication prior to its issuance, distribution or publication.

No press release or release, public announcement or any other communication to the employees, consultants, customers or suppliers of the Company and its Subsidiaries related to this Agreement or the transactions contemplated herein shall be issued or made by any party hereto or any of its Affiliates without the joint approval of the Buyer and the SellerSeller Representative, unless required by law Legal Requirements or stock exchange rules (in upon the reasonable opinion advice of legal counsel) in which case the Buyer and the Seller Representative shall have the right to review such press release release, announcement or announcement communication prior to its issuance, distribution or publication.

No press release or public announcement related to this Agreement or the transactions contemplated herein herein, or prior to the Closing, any other announcement or communication to the employees, customers, suppliers or depository institutions of the Company and the Company Subsidiary related to this Agreement or the transactions contemplated herein, shall be issued or made by any Party hereto without the joint approval of the Buyer and the SellerSeller Representative, unless required by law (in the reasonable opinion of legal counsel) in which case the Buyer and the Seller Representative shall have the right to review such press release release, announcement or announcement communication prior to its issuance, distribution or publication.

No press release or public announcement related to this Agreement or the transactions contemplated herein herein, or prior to the Closing, any other announcement or communication to the employees, clients or suppliers of the Company, shall be issued or made by any party hereto without the joint approval of the Buyer and the Seller, unless required by law (in the reasonable opinion of legal counsel) including disclosure requirements for any reporting company under applicable securities laws in which case the Buyer and the Seller shall have the right to review such press release release, announcement, filing disclosing a current report or announcement communication prior to its issuance, distribution or publication.

No press release or public announcement related to this Agreement or the transactions contemplated herein herein, or prior to the Closing any other announcement or communication to the employees, customers or suppliers of Sellers, shall be issued or made without the joint approval of the Buyer Buyers and the SellerSellers, unless required by law Law (in the reasonable opinion of legal counsel) in which case Buyers and Sellers, as the Buyer and case may be, shall use commercially reasonable efforts to allow the Seller shall have other Party the right to review and comment on such press release or announcement prior to publication.
