Common use of Press Releases and Similar Information Clause in Contracts

Press Releases and Similar Information. HXXX and HBIO will consult with each other as to the timing of their annual and quarterly earnings releases and any interim financial guidance for a current or future period and will give each other the opportunity to review the information therein relating to the HXXX Group and to comment thereon. HBIO and HXXX will make reasonable efforts to coordinate the issuance of their respective quarterly earnings releases, which are generally expected to both occur within one business day at approximately the same time on the same date. No later than twenty-four (24) hours prior to the time and date that a Party intends to publish its regular quarterly earnings release or any financial guidance for a current or future period, such Party will deliver to the other Party copies of drafts (or relevant portions thereof) of all press releases and other statements to be made available by any member of that Party’s Group to its employees or to the public concerning any matters that could be reasonably likely to have a material financial impact on the earnings, results of operations, financial condition or prospects of any HXXX Group member. In addition, prior to the time and date that a Party intends to publish its regular quarterly earnings release or any financial guidance for a current or future period, such Party will deliver to the other Party copies of substantially final drafts of all press releases and other statements to be made available by any member of that Party’s Group to its employees or to the public concerning any matters that could be reasonably likely to have a material financial impact on the earnings, results of operations, financial condition or prospects of any HXXX Group member. In addition, prior to the issuance of any such press release or public statement that meets the criteria set forth in the preceding two sentences, HXXX will consult with HBIO regarding any changes (other than typographical or other similar minor changes) to such substantially final drafts. Immediately following the issuance thereof, HXXX will deliver to HBIO copies of final drafts of all press releases and other public statements.

Press Releases and Similar Information. HXXX Photowatt shall release its annual and HBIO will quarterly earnings releases on the same day or the following day after such release is reviewed by the Board according to the Meeting Schedule and shall give ATS the opportunity to review the information therein relating to the Photowatt Group and to comment thereon. Photowatt and ATS shall consult with each other as to the timing of their annual and quarterly earnings releases and any interim financial guidance for a current or future period and will shall give each other the opportunity to review the information therein relating to the HXXX Photowatt Group and to comment thereon. HBIO Photowatt shall issue its annual and HXXX will make reasonable efforts quarterly earnings releases prior to coordinate the issuance of their ATS issuing its respective annual and quarterly earnings releases, which are generally expected to both occur within one business day at approximately the same time on the same date. No later than twenty-four (24) eight hours prior to the time and date that a Party (or, if the same will be published before noon, no later than 5 p.m. Txxxxxx, Xxxxxxx, time on the previous Business Day) at which Photowatt intends to publish its regular annual or quarterly earnings release or any financial guidance for a current or future period, such Party will Photowatt shall deliver to the other Party ATS copies of substantially final drafts (or relevant portions thereof) of all press releases and other statements to be made available by any member Affiliate of that Party’s Group Photowatt to its employees of any Affiliate of Photowatt or to the public concerning any matters that could be reasonably likely to have a material financial impact on the earnings, results of operations, financial condition or prospects of any HXXX Group member. In addition, prior to the time and date that a Party intends to publish its regular quarterly earnings release or any financial guidance for a current or future period, such Party will deliver to the other Party copies of substantially final drafts of all press releases and other statements to be made available by any member of that Party’s Group to its employees or to the public concerning any matters that could be reasonably likely to have a material financial impact on the earnings, results of operations, financial condition or prospects of any HXXX Photowatt Group member. In addition, prior to the issuance of any such press release or public statement that meets the criteria set forth in the preceding two sentences, HXXX will Photowatt shall consult with HBIO ATS regarding any changes (other than typographical or other similar minor changes) to such substantially final drafts.
