Common use of Presumption of Assent Clause in Contracts

Presumption of Assent. A Director of the Company who is present at a meeting of the Board of Directors or committee thereof, at which action on any matter is taken, shall be presumed to have assented to the action taken unless such Director objects at the beginning of such meeting to the holding of the meeting or to the transacting of business at the meeting, unless his or her dissent is entered in the minutes of the meeting, or unless he shall file a written dissent to such action with the presiding officer of the meeting before the adjournment thereof or shall forward such dissent by registered mail to the Company immediately after the adjournment of the meeting. Such right to dissent shall not apply to a Director who voted in favor of such action.

A Director Manager of the Company who is present at a meeting of the Board of Directors Managers or committee thereof, thereof at which action on any matter is taken, taken shall be presumed to have assented to the action taken unless such Director Manager objects at the beginning of such meeting to the holding of the meeting or to the transacting of business at the meeting, unless his or her such Manager’s dissent is entered in the minutes of the meeting, or unless he such Manager shall file a such Manager’s written dissent to such action with the presiding officer Manager of the meeting before the adjournment thereof or shall forward such dissent by registered mail to the Company immediately after the adjournment of the meeting. Such right to dissent shall not apply to a Director Manager who voted in favor of such action.

A Director director of the Company Corporation who is present at a meeting of the Board of Directors or any committee thereof, at thereof in which action on any Corporation matter is taken, taken shall be presumed to have assented to the action taken unless such Director objects at the beginning of such meeting to the holding of the meeting or to the transacting of business at the meeting, unless his or her director’s dissent is shall be entered in the minutes of the meeting, meeting or unless he such director shall file a his or her written dissent to such action with the presiding officer person acting as the Secretary of the meeting before the adjournment thereof thereof, or shall forward such dissent by registered mail to the Company Secretary of the Corporation immediately after the adjournment of the meeting. Such right to have a dissent entered into the minutes or to file a written dissent shall not apply to a Director director who voted in favor of such actionaction or abstained from voting.

Such right to dissent shall not apply to a Director who voted in favor of such action.

A Director of the Company director who is present at a meeting of the Board of Directors or a committee thereof, at which action on any matter is taken, of the Board of Directors shall be presumed deemed to have assented to the action taken unless such Director objects at the beginning of such meeting to unless (a) the holding of director's dissent or abstention from the meeting or to the transacting of business at the meeting, unless his or her dissent action is entered in the minutes of the meeting, or unless he shall file (b) the director delivers a written notice of dissent or abstention to such the action with to the presiding officer of the meeting before the any adjournment thereof or shall forward such dissent by registered mail to the Company Corporation immediately after the adjournment of the meeting or (c) the director objects at the beginning of the meeting or promptly upon the director's arrival to the holding of the meeting or transacting business at the meeting. Such The right to dissent shall or abstain is not apply available to a Director director who voted in favor of such the action.

Such right to dissent or abstain shall not apply to a Director who voted in favor favour of such action.
