Price and Payment. While we take care to ensure that all prices quoted 4.1 We will send You regular invoices and/or statements which will set out the amount payable by You and the balance on our website are accurate, errors may occurYour account. You will pay the amount due in accordance with the method of payment agreed between Us. If we discover an error anyone else uses the Energy supplied to the Supply Point, You shall be responsible for paying the Energy Charges incurred. 4.2 You shall pay the amount due to Us by the payment date(s) shown on the invoice or by the payment date that may otherwise have been agreed by Us. If any amount remains unpaid 14 days after the due date for payment We may (in addition to any other remedies We may have) charge interest on a daily basis at the rate of three per cent (3%) above the then current European Interbank Overnight Rate; and if any amount remains unpaid after 21 days from the due date for payment We may also invoke clause 7.3 and/or clause 7.6. 4.3 Payments received from You and any interest charges shall be applied to accounts in the order in which they were issued or made. If You pay us any amounts under this Agreement, We will apply the sum received from You against the Charges in the order that they became due. We will credit or debit Your account with any balance (if any) in Your next bill or statement. If You are a Duel Fuel Customer, We will apply the sum received from You against the overall account. 4.4 You shall make all payments without deduction or set off. 4.5 If You pay by direct debit and Your direct bank transfer arrangement is cancelled by You without Our prior agreement, We shall be entitled to change the Prices to Our nondirect debit price until such time as Your direct bank transfer is re-instated. We may also apply an admin fee to Your account which We will advise You of in writing. The Energy Charges may be varied (in accordance with clause 11): A42/ROI/COM/DFTC4 (a) to reflect any variation in any element of the costs to Us of providing the supply of Energy that are not within Our reasonable control, including but not limited to: (i) any variation in the use of system charges or transportation charges made by the Electricity Distributor and/or Gas Transporter; (ii) where there are abnormal or excessive costs incurred in meter reading; and or (iii) Pass Through Charges. (b) if any of the registration details of any product(sSupply Point materially differs from that specified in the Contract; (c) at any time during the term of this Agreement (subject to any provisions to the contrary specified in the Contract); (d) if You add or remove Supply Points in accordance with clause 6.1; (e) where clause 2.5(c) applies. 4.6 If You have ordered, we will inform terminated this Agreement in accordance with clause 7.1 but Your subsequent Supplier does not have a confirmed Registration for each Supply Point on the date of termination We shall be entitled by notice in writing to You as soon as possible to vary all or any of the Prices for any Energy supplied to You during the period from the date of termination to the date that the new Supplier is Registered for the Supply Point. 4.7 If the information for charging purposes under this Agreement is not available at any time for whatever reason (including the inability to obtain a meter reading) then We may estimate the amount due and give You the option of reconfirming the order at the correct price or cancelling it. If we are unable to contact that amount shall be paid by You, the order subject to any subsequent adjustments which may be necessary once We have obtained an up to date meter read. 4.8 If any payments made by You by direct debit are returned unpaid You agree and acknowledge that We will be treated as cancelled permitted to make representation to your bank for all amounts unpaid within 7 days of notification of return by Your bank 4.9 If it is discovered and if verified that a meter reading has been inaccurate or omitted or the translation of readings into amounts payable has been incorrect then Your account shall be amended accordingly. 4.10 If any Pass Through Charges are made to Us by Your Electricity Distributor and/or Gas Transporter or a third party in connection with the supply of Energy to any Supply Point, We shall be entitled to invoice the amount to You have already paid for the product(s) and You will receive reimburse Us for any such amount. 4.11 If You experience any difficulty in paying the amounts due to Us under this Agreement, please contact us immediately so that We can provide advice and, where appropriate, agree a full refundpayment plan or other arrangements with You. 4.12 From time to time, We may, in our sole discretion, offer certain specified categories of commercial customers (which may or may not include You) special tariffs for a certain period of time to be determined by Us. 4.13 We are not required to notify You of any special tariffs introduced by Us from time to time. (a) The parties shall meet either in person or by telephone at least fifty (50) Business Days in advance of each Review Date and shall negotiate in good faith to agree the percentage change, if any, over the preceding thirteen (13) Cycles in the cost to the Supplier of manufacturing and delivering the Serum Products in accordance with this agreement and in the event that they agree on that percentage, the price payable by the Customer for the Serum Products during the thirteen (13) Cycles following the next Review Date shall be increased or decreased, as applicable, by the same percentage. (b) In the event that thirty (30) Business Days before such Review Date, the parties have not reached agreement in accordance with clause 7.3(a) above, they shall refer the matter for bulk determination in accordance with clause 7.8, whereupon the price payable by the Customer for the Serum Products, the Husbandry Fee, the Immunisation Fee and the Test Bleed Fee during the thirteen (13) Cycles following the next Review Date shall respectively be increased or high value purchases decreased, as applicable, by the same percentages as the percentage changes, if any, in the cost to the Supplier over the preceding thirteen (13) Cycles of manufacturing and delivering the Serum Products in accordance with this agreement, of maintaining sheep as if used in the production of Serum Products where the same are not so used, of Immunising sheep and of conducting Test Bleeds, each as determined pursuant to clause 7.8. (c) Notwithstanding the above, if neither party requests a meeting pursuant to clause 7.3(a) within fifty (50) Business Days before the relevant Review Date, the price payable by the Customer for the Serum Products and the Husbandry Fee, the Immunisation Fee and the Test Bleed Fee during the thirteen (13) Cycles following such Review Date shall be the same as during the thirteen (13) Cycles preceding it, subject to any change to the price payable by the Customer for the Serum Products made pursuant to clause 7.7 below. (a) Unless clearly indicated to the contrary, the prices set out in schedule 1, as amended, and availability information without notice. Other than all other amounts and consideration to be provided under or in connection with this agreement ("Agreed Prices") are exclusive of any Goods and Services Tax and Of any Value Added Tax or other United Kingdom taxes which is/are or may become payable as set in Clauses 11.1-11.2a consequence of importing Serum Products into the United Kingdom, changes but otherwise reflect the total prices payable by the Customer's Group for the Serum Products. (b) Where an Agreed Price is exclusive of Goods and Services Tax, the Customer will not affect orders pay to the Supplier such Agreed Price plus the amount of any Goods and Services Tax for which the Supplier becomes liable in respect of any Taxable Supply made by the Supplier in consideration for that Agreed Price. (c) A member of the Customer's Group shall pay any Value Added Tax due at the point of import into the United Kingdom of Serum Products exported thereto by the Supplier. 7.5 The price of the Serum Products shall include all costs of packaging, carriage and insurance therefor. 7.6 The Customer shall pay the Supplier the amount stated on each invoice for Serum Products issued pursuant to clause 7.1 at the end of the month following the date on which we such invoice or the relevant Serum Products themselves are received by the Customer, whichever is the later. 7.7 If at any time during the term of this agreement the Customer requests material changes to be made to the Technical Agreement which concern the manufacturing procedures used to manufacture Serum Products and which the Supplier can prove will increase the costs to the Supplier to manufacture Serum Products or which the Customer can prove will decrease such costs, the parties will negotiate in good faith to agree revised prices for the Serum Products to reflect such increased or decreased costs, such revised prices to take effect when the parties agree, provided that if the parties have already sent an Order Confirmation. If You pay us any amounts under this Agreement, We will apply the sum received from You against the Charges in the order that they became due. We will credit or debit Your account with any balance (if any) in Your next xxxx or statement. If You are a Dual Fuel Customer, We will apply the sum received from You against the overall account. 4.4 You shall make all payments without deduction 4.5 If You pay by direct debit and Your direct bank transfer arrangement is cancelled by You without Our prior agreement, We shall be entitled to change the Prices to Our nondirect debit price until such time as Your direct bank transfer is re-instated. We may also apply an admin fee to Your account which We will advise You of in writing. The Energy Charges may be varied (in accordance with clause 12): (a) to reflect any variation in any element of the costs to Us of providing the supply of Energy that are not within Our reasonable control, including but not limited to: (i) any variation in the use of system charges or transportation charges made by the Electricity Distributor and/or Gas Transporter; (ii) where there are abnormal or excessive costs incurred in meter reading; and or (iii) Pass Through Charges. (b) if any of the registration details of any product(sSupply Contract; (c) at any time during the term of this Agreement (subject to any provisions to the contrary specified in the Contract); (d) if You add or remove Supply Points in accordance with clause 6.1; (e) where clause 2.5(c) applies. 4.6 If You have ordered, we will inform terminated this Agreement in accordance with clause 7.1 but Your subsequent Supplier does not have a confirmed Registration for each Supply Point on the date of termination We shall be entitled by notice in writing to You as soon as possible to vary all or any of the Prices for any Energy supplied to You during the period from the date of termination to the date that the new Supplier is Registered for the Supply Point. 4.7 If the information for charging purposes under this Agreement is not available at any time for whatever reason (including the inability to obtain a meter reading) then We may estimate the amount due and give You the option of reconfirming the order at the correct price or cancelling it.
