Common use of PRICE AND TRUE-UP Clause in Contracts

PRICE AND TRUE-UP. The price(s) for the GOODS, which is net of TAXES, shall be as set forth in Exhibit 6.1 (“PRICE”). The PRICE shall include any goods and services necessary to fulfill this AGREEMENT. Payment shall be made in US dollars. Each calendar quarter, BUYER and SELLER shall agree as to which of the price tiers set forth in Exhibit 6.1 is appropriate for the next calendar quarter based on the Rolling Forecast as described in section 4.1. In the event actual volume in a quarter falls outside of the agreed to price tier, BUYER and SELLER will reconcile to the appropriate price tier.
