Price Changes due to Changes in Specifications. Notwithstanding anything to the contrary in Section 2.08(b), if a change in the Specifications of an Imported Product made pursuant to Section 2.05 warrants a corresponding increase or decrease in the applicable Imported Product Price, Supplier will notify Purchasers, and provide Purchasers with all documentation and information necessary to support the increase or decrease in Price, and the Parties will adjust the Price as warranted consistent with Section 2.08(a).

Client shall pay all costs associated with such agreed upon changes. If there is a conflict between the terms of this Agreement and the terms of the Specifications, this Agreement shall control. Catalent reserves the right to postpone effecting changes to the Specifications until such time as the parties agree to and execute the required written amendment.

  • No Changes in Fiscal Year The fiscal year of the Borrower and its Subsidiaries ends on December 31 of each year; and the Borrower shall not, nor shall it permit any Subsidiary to, change its fiscal year from its present basis.
