Pricing Arrangements. The OCO may use all types of Fixed-Price, Cost Reimbursement, Incentive, and Time-and- Materials (T&M) pricing arrangements, as provided in FAR Part 16.
Pricing Arrangements. Individual Release Orders will identify the type of pricing arrangement that will apply. This BOA provides for issuance of Release Orders based on the pricing arrangements described below:
(1) Time-and-Material (T&M). This type of Release Order will provide for establishment of a NTE Price to complete all Basic Services for the Release Order Project based on an advance estimate provided by the Professional Services Consultant. The Professional Services Consultant will then be reimbursed for actual costs up to this NTE Price for labor at the applicable hourly rates established in this BOA at the time of issuance of the Release Order and for any material, subcontracts/subconsultant agreements, and special equipment plus applicable mark-ups as established in this BOA.

Refer to Clause K2 – Payments Under Time and Material Contracts in the General Terms and Conditions set forth in Part II.

The Contractor will then be reimbursed for actual costs up to this Not-to-Exceed Price for labor at the applicable hourly rates established in this BOA at the time of issuance of the Release Order and for material, Subcontracts, and special equipment plus applicable mark-ups as established in this BOA. Refer to Clause I1 in the General Terms & Conditions set forth in Part II (with all specific provisions for Time and Material Contracts therein applying to this T&M type of Release Order, and specifically and without limitation, the Not-to-Exceed Price therein applying to this Not-to-Exceed Price).
Pricing Arrangements. 6.1 In consideration of the provision of the Licensed Materials and the performance of the Services by the Contractor, SFC shall pay to the Contractor the Fees.
6.2 Unless SFC tells the Contractor at any time to address its invoices to a different address all invoices should be addressed and sent in accordance with the instructions contained in Part 3.
6.3 The Fees are inclusive of all expenses incurred by the Contractor, its Staff and its sub-contractors in the provision of the Licensed Materials and the Services and are exclusive of value added tax which shall be paid provided that a valid value added tax invoice has been received by SFC addressed pursuant to Clause 6.2.
6.4 SFC will not become liable to pay the Maintenance Fee until the later of the end of the warranty period referred to in Clause 7.5 or the rectification of all errors reported by SFC during such period to SFC's satisfaction. The Contractor shall, however, remain obliged to provide the Maintenance Services during these periods.
6.5 Payment of any sums due under this Agreement shall be made to the Contractor within 30 days of receipt of a valid invoice raised in accordance with this Agreement. The Contractor will not issue an invoice before the due date for its payment and will quote the purchase order number(s) allocated by SFC for this Agreement on all invoices. If any payment to the Contractor is delayed other than where Clause 6.6 applies, then (a) the Contractor shall notify SFC in writing, providing a copy of the relevant invoice; and (b) if SFC fails to pay the undisputed invoice or part thereof within 30 Business Days of receiving the Contractor's written notice then the Contractor will be entitled to charge interest on the overdue amount at the applicable rate under the Late Payment of Commercial Debts (Interest) Xxx 0000, accruing on a daily basis from the due date up to the date of actual payment, whether before or after judgment. .
6.6 SFC will have the right to retain any payments under this Agreement that would otherwise be due to the Contractor where it disputes, in good faith, that the Contractor has properly performed its obligations under this Agreement.
6.7 Payment by SFC will not affect any claims or rights which SFC may have against the Contractor. Payment will not amount to any admission by SFC that the Contractor has satisfactorily performed its obligations under this Agreement.

The Client acknowledges that the fees and charges for the Services are in addition to any other service fees or other charges that may apply to an Account. ATB Financial may amend the Pricing Schedule or other fees and charges payable for the Services at any time in its sole discretion. ATB Financial will provide notice of such pricing or fee change(s) to the Client by posting such change(s) or amendment(s) on ATB Financial’s website, by secure message on ATB Business, or by delivering (electronically, by mail or personally) an updated Pricing Schedule. By using any of the Services after notice of the pricing or fee change is provided, the Client will be deemed to have accepted the change. 18.2
Pricing Arrangements. 5.1 Handling Fee for the Reagents The Handling Fee for each of the Reagents is inclusive of all taxes (excluding GST). The Handling Fee may be updated by the TGA from time to time (see the TGA's website). Except as expressly provided otherwise in this Agreement, the Handling Fee for the Reagents includes all packaging, transport, loading, unloading, storage and other costs and expenses of the TGA, up to the Delivery Point of the Reagents, including unloading of the Reagents at the Delivery Point.
Pricing Arrangements. Fees and charges for the Services will be in a Pricing Schedule(s) forming part of this Master Agreemet nor the applicable Service Schedules. ATB Financial may amend any such Pricing Schedule or applicable Service Schedules from time to time in its solescdrietion. ATB Financial will provide notice of such pricing or fee change(s) to the Customer by posting such change(s) or amendment(s) onnay ATB Financial website, by secure message on ATBOnline Busienss, or by delivering (electronically, by mail or personally) an updated Pricing Schedule. By using any of the Services after notice of the pricing or fee change is provided, the Customer will be deemed to have accepted the change.
