Pricing Commitment. Supplier commits the not-to-exceed pricing provided under the Master Agreement pricing is its lowest available (net to buyer) to Public Agencies and further commits that if a Participating Public Agency is eligible for lower pricing through a different contract (to include a national, state, regional or local or cooperative contract held by the Supplier), the Supplier will match such lower pricing to that Participating Public Agency under the Master Agreement.
Pricing Commitment. (a) Service Provider's Charges to DIR for Services to be provided under this Agreement shall be at least as low as Service Provider's lowest fees, under agreements entered into directly between Service Provider and other state or local governmental or educational entities that would qualify as DIR Customers if included under this Agreement, for the same or substantially similar services provided at similar volumes.
(b) At DIR's request, not more frequently than once in any rolling eighteen (18) month period (with the first assessment to be conducted no sooner than eighteen (18) months from the Effective Date), Service Provider will conduct a competitive price assessment. The assessment will first identify whether there are any agreements between Service Provider and other entities meeting the criteria in subsection (a) and then, assuming there are such agreements, will proceed to assess the price competitiveness of this Agreement with up to three (3) such agreements selected by DIR from a list of candidates presented by Service Provider, taking into account the type of normalization factors referenced in Section 11.10(b) to ensure a like-for-like comparison. At the conclusion of the assessment, either (i) the Service Provider's Vice President, State and Local Government, shall verify that the assessment has been completed and no adjustment is required for the Charges to be brought in line with lower fees or (ii) Service Provider shall identify any relevant variance, offer a plan to enable Service Provider to reduce the Charges so that they are brought in line with the lower fees, and reduce such Charges prospectively from the date of verification of the relevant variance. DIR shall be allowed to review and approve such plan, which in all events shall implement the relevant Charges reductions no later than ninety (90) days from the date of DIR's approval of such plan. The provisions of S ection 9.9 shall not apply to the assessment conducted in accordance with Section 11.11.
(c) In no event will Service Provider be required to adjust the Charges to an amount below the fully burdened costs to Service Provider's outsourcing services line of business in accordance with that line of business' standard approach for measuring the profit and loss associated with individual outsourcing contracts; provided that, in the event Service Provider seeks to use this provision as the basis upon which it maintains that no price adjustment is necessary, DIR may engage a third...
Pricing Commitment. The agreed upon pricing for the Compound and the Product shall be as follows:

Pricing Commitment. Subcontractor agrees to price the Work performed hereunder for Contractor at maximum rates equivalent to Subcontractor’s cost, plus a maximum 10 percent (10%) margin to Subcontractor, with third party providers of goods and services to Subcontractor engaged by Subcontractor at market rates for the locale in which the Work is being performed (except in the case of goods, if such goods can reasonably be acquired and delivered from outside the such locale at lower than such market rates).
Pricing Commitment. At all times during the Term, the Product Price for each Product SKU hereunder shall be no less favorable than the price contemporaneously charged by Parent to any similarly situated, unaffiliated third party customer (for clarity, not including any subcontractor engaged by Parent or its Affiliates) that purchases equal to or less than a similar volume of such Product SKU over the course of a contemporaneous twelve-month period. Any change in a Product Price pursuant to this clause will only be applied on a prospective basis.

The assessment shall first identify whether there are any agreements between Contractor and other entities meeting the criteria in Section 10.5(a) above and then, assuming there are such agreements, shall proceed to assess the price competitiveness of this Agreement with up to three (3) such agreements selected by OCA from a list of candidates presented by Contractor, taking into account the type of normalization factors referenced in Section 10.5(a) to ensure a like-for-like comparison. 3.2.1 Pricing Years 1-5 of Term
3.2.1.1 In the event that Biomedica is required to sell Product or Kits through a distributor (e.g.: Turkey, Saudi Arabia, etc.), both parties (MIP and Biomedica) will reduce their prices equally by up to ****** to accommodate any distributor margin. For purposes of clarity, this distributor price reduction will not apply to ******
3.2.1.2 During the initial launch period starting April 1, 2010 and extending to no later than September 30, 2011, the following pricing structure shall apply:
(a) Single dose Onalta kits shall be purchased by BIOMEDICA from MIP or its designee at a transfer price to BIOMEDICA of not less than ****** per kit or ****** of the final net selling price per kit, whichever is greater. Any kit purchased by BIOMEDICA for the purpose of fulfilling the credit provided by BIOMEDICA to customers as part of the return/exchange program initiated jointly by the parties and Bachem, shall reflect an adjusted transfer price to BIOMEDICA of not less than ****** per kit or ****** of the * Confidential Treatment Requested * final net selling price per kit, whichever is greater. Adjustments to transfer prices for any kits purchased in connection with the return/exchange program shall be made in the form of credits to BIOMEDICA, pursuant to Section 3.1.2.2(c).
(b) Product shall be purchased by BIOMEDICA from MIP or its designee at a transfer price to BIOMEDICA of not less than ****** per dose of Product or not less than ****** of the final net market price of Product, whichever is greater. Product purchased by BIOMEDICA for the purpose of fulfilling orders as part of the return/exchange program, shall be entitled to a ****** per dose credit. Adjustments to transfer prices for any Product purchased in connection with the return/exchange program shall be made pursuant to Section 3.1.2.2(c).
(c) For such transfer pricing adjustments to apply, BIOMEDICA will provide to MIP within 5 business days following the end of each month, a written report identifying (i) the name each customer that participated in the exchange program during the prior month, (ii) the quantity of peptide returned by that customer, and (iii) confirmation the customer is eligible for participation in the exchange program. MIP shall apply any credit to BIOMEDICA’s account in the month the report is received by MIP.
Pricing Commitment. Except as otherwise required or allowed by law or by order of Competent Authority, the Licensee shall maintain its prices and charges for Providing Electricity at a level that is substantially equal to its cost of Providing Electricity, including the cost of capital.

Outside of UC Higher Education, Medline will mutually agree to contracting terms and conditions with the involved OMNIA Partners customer.
