Pricing for Other Services Clause Samples
The "Pricing for Other Services" clause defines how fees will be determined for services that fall outside the main scope of the agreement. Pricing for Other Services. The CMC Services, Additional Phase III Supply Services and Technology Transfer Services not otherwise covered pursuant to Section 4.1 will be provided at *** which shall be paid by Receptos upon quarterly invoice. Notwithstanding the foregoing: (i) any CMC Services or Additional Phase III Supply Services by AbbVie not otherwise covered pursuant to Section 4.1 provided during the term of the Collaboration Agreement (if executed) shall be charged ***; provided, however, that Technology Transfer Services provided during the term of the Collaboration Agreement (if executed) shall be addressed as set forth in Schedule 3.3.2 (e.g.. Sections 3.2 and 4.6 of such Schedule).
Pricing for Other Services. The pricing for specified Quality Reliability Assurance Services shall be as set forth in the Letter Agreement. The pricing for specified Bare Die/Wafer Preparation Services shall be developed and mutually agreed upon by the Parties as soon as practicable following the Effective Date and thereafter attached to the Letter Agreement, and shall be based upon a combination of variable costs and the fixed costs to be incurred to provide such services. Intersil shall consign to ChipPAC any and all equipment necessary in order for ChipPAC to perform the Bare Die/Wafer Preparation Services. Upon ChipPAC’s request, Intersil shall provide ChipPAC with the Engineering/QAR/Analytical Services specified in the Letter Agreement for the prices specified therein.
