Prime Financial Statements. The consolidated balance sheets of Prime and Prime's Subsidiaries as of December 31, 1998 and 1997 and related consolidated statements of income, shareholders' equity and cash flows for the three years ended December 31, 1998, together with the notes thereto, certified by Gran▇ ▇▇▇▇▇▇▇▇ ▇▇▇ included in Prime's Annual Report on Form 10-K for the fiscal year ended December 31, 1998 (the "Prime 10-K") as filed with the Securities and Exchange Commission (the "SEC"), and the unaudited consolidated statements of financial condition of Prime and Prime's Subsidiaries as of March 31, 1999 and the related unaudited consolidated statements of income, shareholders' equity and cash flows for the three (3) months then ended included in Prime's Quarterly Report on Form 10-Q for the fiscal quarter ended March 31, 1999 as filed with the SEC (collectively, the "Prime Financial Statements"), have been prepared in accordance with generally accepted accounting principles applied on a consistent basis and present fairly (subject, in the case of financial statements for interim periods, to normal recurring adjustments) the consolidated financial position of Prime and Prime's Subsidiaries at the dates and the consolidated results of operations and cash flows of Prime and Prime's Subsidiaries for the periods stated therein.
