Common use of Princeton University Termination for Convenience Clause in Contracts

Princeton University Termination for Convenience. Princeton University hereby reserves the right to terminate this Contract, in whole or in part, without cause for its convenience at any time and for any reason upon written notice to Contractor, effective immediately, unless otherwise provided in said notice. Upon receipt of written notice from Princeton University of such termination for convenience, the Contractor shall: (i) cease operations as directed in the notice; (ii) take actions necessary, or that Princeton University may direct, for the protection and preservation of the Work and the safety of the Site; (iii) tender for Princeton University’s acceptance in its discretion, the assignment of Subcontracts pursuant to Clause J10(b); and (iv) except for Work directed to be performed prior to the effective date of termination stated in the notice, terminate all existing Subcontracts and purchase orders and enter into no further Subcontracts and purchase orders. Within thirty (30) calendar days of any such termination, Princeton University shall pay as the sole amount due to Contractor in connection with this Project:
