Common use of Principal Place of Business; Registered Agent Clause in Contracts

Principal Place of Business; Registered Agent. The Company’s principal place of business shall be located at 600 Xxxxxxxxxx Xxxxxx, Xxxxx 0000, Xxxxxxx, Xxxxxxxxxx 00000, or at such other place or places as the Manager may from time to time determine. The Company’s registered agent for service of process and the location of its registered office in the State of Delaware shall be the Person and the location reflected in the Certificate of Formation as filed in the office of the Secretary of State of the State of Delaware. The Member may change the registered agent of the Company from time to time by causing the filing of the name of the new registered agent in accordance with the Delaware Act. The Company shall qualify to do business in any jurisdiction in which the Company transacts business and in which such qualification is required or desirable.

The Member may change the registered agent of the Company may be changed from time to time by the Member by causing the filing of the name of the new registered agent in accordance with the Delaware Act. The Company shall qualify to do business in the State of California and in any jurisdiction other jurisdictions in which the Company transacts business and in which such qualification is required or desirable.
