Principal Scientists. The principal scientists who will direct the respective research and development responsibilities of each party will be designated in writing by the Parties at the first meeting of the Steering Committee.
Principal Scientists. The principal scientists for the Research Program are [**] for AVEO and [**] for MERCK. The Research Program and all work assignments to be performed by AVEO and MERCK shall be carried out under the direction and supervision of the principal scientists noted above. Each Party shall notify the other Party as soon as practicable upon the changing of its principal scientist; provided, however, that in no event may AVEO assign a principal scientist other than the individual identified above without first consulting with MERCK regarding such decision.

The Research Program and all work assignments to be performed by RENOVIS and MERCK shall be carried out under the direction and supervision of the principal scientists noted above. Each Party shall notify the other Party as soon as practicable upon the changing of principal scientist; provided, however, in no event may RENOVIS assign a principal scientist other than the individual identified above without the prior written consent of MERCK.
Principal Scientists. The principal scientists for the Technology Collaboration are Dr. [**] for ALNYLAM and Dr. [**] for MERCK. The Technology Collaboration and all work assignments to be performed by ALNYLAM and MERCK shall be carried out under the direction and supervision of the principal scientists noted above. Each Party shall immediately notify the other Party in the event that the Party's principal scientist is not or will not direct or supervise the Technology Collaboration or leaves the Party's employ.

The Research Program and all work assignments to be performed by the NEOGENESIS and MERCK shall be carried out under the direction and supervision of the principal scientists noted above. Each party shall notify the other party as soon as practicable upon the changing of principal scientist; PROVIDED, HOWEVER, in no event may the NEOGENESIS assign a principal scientist other than the individual identified above without the prior written consent of MERCK; AND PROVIDED, FURTHER, that in the event that the NEOGENESIS principal scientist is not available to direct and supervise the Research Program or leaves NEOGENESIS's employ, NEOGENESIS shall immediately notify MERCK, and, if, in Merck's opinion, * = CONFIDENTIAL TREATMENT REQUESTED: MATERIAL HAS BEEN OMITTED AND FILED SEPARATELY WITH THE COMMISSION. a suitable replacement cannot be identified, this Agreement may be terminated by MERCK in accordance with Section 8.3.1(a).

The Research Program and all work assignments to be performed by ATI and BioChem shall be carried out under the direction and supervision of the principal scientists noted above.

The Research Program and all work assignments to be performed by the Myriad and Schering shall be carried out under the direction and supervision of the principal scientists noted above. Each party shall notify the other party as soon as practicable upon the changing of a principal scientist; provided, however, in no -------- ------- event may Myriad assign a principal scientist other than the individuals identified above without the prior written consent of Schering; and provided, ------------ further, that in the event that any of the Myriad principal scientists ------- identified above will not direct and supervise the Research Program, then Myriad shall within a reasonable period of time assign replacement principal scientist(s) with comparable skill and experience as the principal scientist being replaced, subject to approval by Schering, which approval shall not be unreasonably withheld.

The Parties shall each designate a principal scientist for the Research Program, and/or a principal scientist for a Target Validation Plan and Target Drug Discovery Plan, and all work assignments to be performed by Xenon and Merck shall be carried out under the direction and supervision of the respective principal scientists selected by the Parties.
