Prior Actions. Notwithstanding Paragraph 2.2, the Organizer shall not provide instruction to any student attending the Charter School until and unless: (a) the Organizer issues a written statement to the Charter Schools Director, attesting to the Organizer's substantial completion, in a timely manner, of all of the prior actions set forth in Attachment A (hereafter, the "Prior Actions"), and (b) the Charter Schools Director shall have confirmed in writing the substantial completion of such Prior Actions. The Prior Actions are in addition to any other conditions set forth in the Charter.
Prior Actions. All prior charges, complaints, grievances, discharges, reprimands, and other disciplinary actions before the ratification of this contract by both parties shall not be subject to the provisions of this contract.

Paragraph 1.2 hereof notwithstanding, the Charter School shall not provide instruction to any student and shall not be eligible to receive funds from the local school districts as provided in §2856 of the Act until and unless SED shall issue a written statement to the Charter School, with a copy to the Regents, attesting to the Charter School's having completed or made satisfactory progress towards completing all or substantially all of the Prior Actions set forth in Section I, Opening Procedures, of the Oversight Plan (the "Prior Actions"). Upon such confirmation, the restrictions on the Charter School set forth in the immediately foregoing sentence shall be of no further force and effect. Moreover, notwithstanding anything to the contrary in this paragraph, the Prior Actions are in addition to any other conditions set forth in the Charter or the Act.

Borrower hereby waives, releases and forever discharges Lender, its officers, employees and agents, from any and all rights, claims, demands or causes or action against Lender, in law or in equity, arising out of Lender's past actions or omissions with respect to the Original Loan Agreement, any other agreements or documents, or any lien or collateral securing any Liabilities under and as defined in the Original Loan Agreement.
