Prior Indebtedness. A payoff letter from each lender of any Prior Indebtedness in form and substance reasonably satisfactory to the Agent, together with such UCC-3 termination statements, releases of mortgage Liens and other instruments, documents and/or agreements necessary or appropriate to terminate any Liens in favor of such lenders securing Prior Indebtedness which is to be paid off on the Closing Date as the Agent may reasonably request, duly executed and in form and substance reasonably satisfactory to the Agent;
