Common use of Prior Indebtedness Clause in Contracts

Prior Indebtedness. A payoff letter from each lender of any Prior Indebtedness in form and substance reasonably satisfactory to the Agent, together with such UCC-3 termination statements, releases of mortgage Liens and other instruments, documents and/or agreements necessary or appropriate to terminate any Liens in favor of such lender securing Prior Indebtedness which is to be paid off on the Closing Date as the Agent may reasonably request, duly executed and in form and substance reasonably satisfactory to the Agent; and

Prior Indebtedness. A payoff letter from each lender of any Prior Indebtedness in form and substance reasonably satisfactory to the Agent, together with such UCC-3 termination statements, releases of mortgage Liens and other instruments, documents and/or agreements necessary or appropriate to terminate any Liens in favor of such lender lenders securing Prior Indebtedness which is to be paid off on the Closing Restatement Effective Date as the Agent may reasonably request, duly executed and in form and substance reasonably satisfactory to the Agent; and;

Prior Indebtedness. A payoff letter from each lender of any Prior ------------------ Indebtedness in form and substance reasonably satisfactory to the Agent, together with such UCC-3 termination statements, releases of mortgage Liens and other instruments, documents and/or agreements necessary or appropriate to terminate any Liens in favor of such lender lenders securing Prior Indebtedness which is to be paid off on the Closing Date as the Agent may reasonably request, duly executed and in form and substance reasonably satisfactory to the Agent; and;
