Common use of Prior Negotiations; Entire Agreement Clause in Contracts

Prior Negotiations; Entire Agreement. This Agreement, including the exhibits and schedules hereto, constitutes the entire agreement of the Restructuring Support Parties, and supersedes all other prior negotiations, with respect to the subject matter of this Agreement, whether written or oral; provided, however, that any confidentiality agreement executed by any Consenting Creditor shall survive execution and delivery of this Agreement and shall continue in full force and effect, subject to the terms thereof, irrespective of the terms hereof.

This Agreement, including the exhibits and schedules heretohereto (including the Restructuring Term Sheet), constitutes the entire agreement of the Restructuring Support Transaction Parties, and supersedes all other prior negotiations, with respect to the subject matter of this Agreement, whether written or oral; provided, however, except that the Transaction Parties acknowledge and agree that any confidentiality agreement agreements (if any) heretofore executed by between any of the Company and any of the Consenting Creditor shall survive execution Lenders or their respective legal and delivery of this Agreement and financial advisors shall continue in full force and effect, subject to the terms thereof, irrespective of the terms hereof.

This Agreement, including the exhibits and schedules hereto, constitutes the entire agreement of the Restructuring Support Parties, and supersedes all other prior negotiationsnegotiations (whether written, verbal or otherwise), with respect to the subject matter of this Agreementhereof and thereof, whether written or oral; provided, however, except that the Parties acknowledge that any confidentiality agreement and/or non-disclosure agreement (if any) heretofore executed by between the Company and any Consenting Creditor shall survive execution and delivery of this Agreement and Lender shall continue in full force and effect, subject to the terms thereof, irrespective of the terms hereofeffect in accordance with its terms.
