PRIOR NOTICE; OPPORTUNITY TO CURE. (a) Michxxx xxxll give the Company written notice at least twenty (20) Business Days before entering into any relationship or transaction, or engaging in any activity, or taking or omitting to take any action, which might reasonably be deemed a breach of any provision of Section 2.2 or Section 2.3, such notice to include full and complete particulars as to the proposed relationship, transaction, activity, action or omission, the services or duties contemplated and such other facts and circumstances as are reasonably necessary for the Company to make an informed decision. The Company shall advise Michxxx xx writing, within ten (10) Business Days after such notice is given, of the Board of Directors' determination as to whether such relationship, transaction, activity, action or omission would materially breach any of the provisions of Section 2.2 or Section 2.3. In the event that, for reasons not within his control, Michxxx xxxes the Company less than twenty (20) Business Days' prior written notice, the Company will endeavor in good faith to advise Michxxx xx the Board of Directors' determination in less than ten (10) Business Days after such notice is given, provided that the Company's failure to advise Michxxx xx less than ten (10) Business Days shall not be deemed to constitute consent to such
