Prior Notice to Company with Respect to Certain Matters. With respect to the following matters, neither the Eligible Lender Trustee nor the Delaware Trustee shall take any action unless at least 30 days before the taking of such action, the Eligible Lender Trustee or the Delaware Trustee shall have notified the Company, the Rating Agencies and any Swap Counterparties in writing of the proposed action and neither the Company nor the Swap Counterparty shall have notified the Eligible Lender Trustee in writing prior to the 30th day after such notice is given that the Company or any Swap Counterparties has withheld consent or the Company has provided alternative direction:
