Prior Proxies Clause Samples

The 'Prior Proxies' clause establishes that any proxy authorizations given by a shareholder before the current proxy are revoked and rendered invalid. In practice, this means that when a shareholder issues a new proxy for voting at a meeting, all previous proxies they may have granted for the same meeting or purpose are automatically canceled. This ensures that only the most recent proxy reflects the shareholder's current intentions, preventing confusion or disputes over which proxy is valid and thereby maintaining clarity and order in the voting process.
Prior Proxies. Each Stockholder hereby revokes (or agrees to cause to be revoked) any and all previous proxies granted with respect to the Covered Shares.

(b) The MIT Stockholder recognizes that the Merger will be of benefit to the MIT Stockholder and acknowledges that MIT and MIT Holdings are incurring costs and expenses in reliance on the representations, warranties and covenants of the MIT Stockholder set forth in this Agreement.
Prior Proxies. Equityholder hereby revokes (or agrees to cause to be revoked) any proxies that Equityholder has heretofore granted with respect to the Company Capital Stock owned by Equityholder.

(b) AHM Stockholder recognizes that the Merger will be of benefit to the AHM Stockholder and acknowledges that Company is incurring costs and expenses in reliance on the representations, warranties and covenants of AHM Stockholder set forth in this Agreement.
