Common use of Prior to Exercise of Xxxxxxx Option Clause in Contracts

Prior to Exercise of Xxxxxxx Option. If Xxxxxxx terminates (or is deemed to have terminated) its rights to Develop and Commercialize the Licensed Product prior to the exercise of the Xxxxxxx Option and pursuant to Section 10.3(b), then (X) Xxxxxxx shall xxxxx PPD the rights described in Section 4.1, (Y) the PPD Option Period becomes effective upon notice of such termination, and (Z) Xxxxxxx shall, without limitation of, and in addition to, its obligations under Section 10.3(c), continue to perform any of Xxxxxxx’x or its Affiliates’ obligations under Section 3.02(a) of the TOPO Master Services Agreement pursuant to the terms thereof.
