Common use of Priority of Registrable Securities Clause in Contracts

Priority of Registrable Securities. If the managing underwriters for such Underwritten Shelf Takedown advise the Company and the Holders of Shelf Registrable Securities proposed to be included in such Underwritten Shelf Takedown that in their reasonable view the number of Shelf Registrable Securities proposed to be included in such Underwritten Shelf Takedown exceeds the number of Shelf Registrable Securities which can be sold in an orderly manner in such offering within a price range acceptable to the Holders of a Majority of Included Registrable Securities requested to be included in the Underwritten Shelf Takedown (the “Maximum Offering Size”), then the Company shall promptly give written notice to all Holders of Shelf Registrable Securities proposed to be included in such Underwritten Shelf Takedown of such Maximum Offering Size, and shall include in such Underwritten Shelf Takedown the number of Shelf Registrable Securities which can be so sold in the following order of priority, up to the Maximum Offering Size: (A) first, the Shelf Registrable Securities requested to be included in such Underwritten Shelf Takedown by the Holders of such Shelf Registrable Securities, allocated, if necessary for the offering not to exceed the Maximum Offering Size, pro rata among such Holders on the basis of the number of Shelf Registrable Securities requested to be included therein by each such Holder, (B) second, any securities proposed to be offered by the Company and (C) third, Other Registrable Securities requested to be included in such Underwritten Shelf Takedown to the extent permitted hereunder, allocated, if necessary for the offering not to exceed the Maximum Offering Size, in priority as may be determined by the Company and the holders of such Other Registrable Securities.

If the managing underwriters for such an Underwritten Shelf Takedown Offering pursuant to Section 1(a)(vi) advise the Company and the Holders holders of Shelf Registrable Securities proposed to be included in such Underwritten Shelf Takedown Offering that in their reasonable view the number of Shelf Registrable Securities proposed to be included in such Underwritten Shelf Takedown Offering exceeds the number of Shelf Registrable Securities which can be sold in an orderly manner in such offering within a price range acceptable to the Requesting Holders of a Majority of Included Registrable Securities requested to be included in the Underwritten Shelf Takedown (the “Maximum Offering Size”), then the Company shall promptly give written notice to all Holders holders of Shelf Registrable Securities proposed to be included in such Underwritten Shelf Takedown Offering of such Maximum Offering Size, and shall include in such Underwritten Shelf Takedown Offering the number of Shelf Registrable Securities which can be so sold in the following order of priority, up to the Maximum Offering Size: (x) in the case of a Re-IPO, (A) first, the Shelf Registrable Securities requested to be included in such Underwritten Offering by all Holders, allocated, if necessary for the offering not to exceed the Maximum Offering Size, pro rata among such Holders on the basis of the number of Shelf Takedown Registrable Securities requested to be included therein by each such Holder (provided, that each such Holder shall have executed a Lock-Up Agreement, if requested by the Holders managing underwriters), and (B) second, any securities proposed to be offered by the Company or third party holders, and (y) in the case of such any subsequent Underwritten Offerings, (A) first, the Shelf Registrable SecuritiesSecurities requested to be included in such Underwritten Offering by the Requesting Holders, allocated, if necessary for the offering not to exceed the Maximum Offering Size, pro rata among such Holders on the basis of the number of Shelf Registrable Securities requested to be included therein by each such Holder, (B) second, any securities proposed to be offered by the Company and (C) third, Other Shelf Registrable Securities requested to be included in such Underwritten Shelf Takedown to the extent permitted hereunderOffering by all other Holders, allocated, if necessary for the offering not to exceed the Maximum Offering Size, in priority as may pro rata among such Holders on the basis of the number of Shelf Registrable Securities requested to be determined included therein by each such Holder, and (C) third, any securities proposed to be offered by the Company and the holders of such Other Registrable Securitiesor third party holders.
