Common use of Privileged Communications Clause in Contracts

Privileged Communications. In furtherance of this Agreement, it is expected that Astellas and Ironwood will, from time to time, disclose to one another privileged communications with counsel, including opinions, memoranda, letters and other written, electronic and verbal communications. Such disclosures are made with the understanding that they will remain confidential, they will not be deemed to waive any applicable attorney­client privilege and that they are made in connection with the shared community of legal interests existing between Ironwood and Astellas, including the community of legal interests in avoiding infringement of any valid, enforceable patents of Third Parties and maintaining the validity of Ironwood Patent Rights, Astellas Patent Rights and Joint Patent Rights.
