Common use of Privileges of Share Ownership Clause in Contracts

Privileges of Share Ownership. The Grantee will not have any of the rights of a shareholder of the Company with respect to any Option Shares (and, for avoidance of doubt, will not be deemed to own any Option Shares for purposes of any employment agreement or otherwise) until the Option Shares are issued to the Grantee and no adjustment will be made for cash distributions in respect of such Option Shares for which the record date is prior to the date upon which such the Grantee or permitted transferee will become the holder of record thereof.
