The Global Administrative Agent shall have received the pro forma consolidated balance sheet and income statement of the Borrower and its Subsidiaries described in Section 3.2, and such pro forma consolidated balance sheet shall be consistent in all material respects with the forecasts and other information previously provided to the Lenders.
