PRO FORMA FIXED CHARGES COVERAGE RATIO. The Pro Forma Fixed Charges Coverage Ratio (as defined below) for any Reference Period to be less than 1.10:1. As used in this SECTION 10.2, "PRO FORMA FIXED CHARGES COVERAGE RATIO" means, in relation to any Reference Period described in the previous sentence, the ratio of (i) Consolidated EBITDA for such Reference Period to (ii) Pro Forma Fixed Charges for such Reference Period.
