Common use of Pro Rata Reallocations Clause in Contracts

Pro Rata Reallocations. If the Exchange Agent is required pursuant to subsection 2.02(f)(i)(B) to convert some Common Stock Election Shares into Reallocated Cash Shares, each holder of Common Stock Election Shares shall be allocated a pro rata portion of the total Reallocated Cash Shares. If the Exchange Agent is required pursuant to subsection 2.02(f)(ii)(C) to convert some Cash Election Shares into Reallocated Common Stock Shares, each holder of Cash Election Shares shall be allocated a pro rata portion of the total Reallocated Common Stock Election Shares.

Pro Rata Reallocations. If In the event that the Exchange Agent is required pursuant to subsection 2.02(f)(i)(BSection 2.1.5(d)(i)(3) to convert some Common Stock Election Shares into Reallocated Cash Shares, each holder of Common Stock Election Shares shall be allocated a pro rata portion of the total Reallocated Cash Shares. If In the event that the Exchange Agent is required (x) pursuant to subsection 2.02(f)(i)(B) Section 3.2(d)(i)(B), to convert some Common Stock Election Shares into Reallocated Cash Shares, or (y) pursuant to Section 3.2(d)(ii)(B) to convert some Cash Election Shares into Reallocated Stock Shares, each holder of Common Stock Election Shares such shares being converted shall be allocated a pro rata portion of the total Reallocated Cash Shares. If the Exchange Agent is required pursuant to subsection 2.02(f)(ii)(C) to convert some Cash Election Shares into or Reallocated Common Stock Shares, each holder of Cash Election Shares shall be allocated a pro rata portion of as the total Reallocated Common Stock Election Sharescase may be.
