Procedure for Obtaining Landlord's Consent. A. Landlord's consent to an assignment of this Lease shall be effective upon the execution by Tenant, the assignee, and Landlord of an assignment document prepared by Landlord in which the assignee shall agree to assume, observe, perform, and be bound by, all of Tenant's obligations under this Lease and Tenant shall agree to remain primarily liable for such obligations. Any consent by Landlord to a subletting of all or a portion of the Premises shall be deemed to have been given only upon the delivery by Landlord to Tenant of a consent document prepared and executed by Landlord expressly consenting to such subletting.

Any consent by Landlord to a subletting of all or a portion of the Premises shall be deemed to have been given only upon the delivery by Landlord to Tenant of a consent document prepared and executed by Landlord expressly consenting to such subletting.

Procedure for Obtaining Landlord's Consent. A. In the event that, at any time or from time to time prior to or during the Term, Tenant desires to Transfer this Lease in whole or in partpart (other than pursuant to Section 25.1), whether by operation of law or otherwise, Tenant shall submit to Landlord for its consideration (a) in writing, the name and address of the proposed subtenant or assignee, a reasonably detailed statement of the proposed subtenant's or assignee's business experience and reasonably detailed financial references and information concerning the financial condition of the proposed subtenant or assignee, (b) a disclosure of the rents to be paid by any subtenant in excess of the rents reserved hereunder or the premium to be paid for the assignment, and (c) if a subletting, a description of the area of the Premises to be sublet. In connection with a Transfer other than to an affiliate, parent, or subsidiary corporation of Tenant, Tenant agrees to pay Landlord, as Additional Rent, all (i) a transfer fee of One Thousand Dollars ($1,000) prior to the effective date of any Transfer in order to reimburse Landlord for its internal costs and expenses and legal costs incurred by Landlord in connection with any actual or proposed Transfer, including, without limitation, the costs of making investigations as to the acceptability of a proposed subtenant or assignee and legal assignee, including without limitation, costs incurred in connection with the review of financial materials, meetings with representatives of Transferor and/or Transferee and preparation, review, approval and execution of the required Transfer documentation; and (ii) any requested consentdue but unpaid rent. B. Landlord's consent to an assignment of this Lease shall be effective only upon the execution by Tenant, the assignee, assignee and Landlord of an assignment document prepared by Landlord Landlord, in which the such assignee shall agree to assume, observe, perform, and be bound by, by all of Tenant's obligations under this Lease and Tenant shall agree to remain primarily liable for such obligations. Any consent by Landlord to a subletting of all or a portion of the Premises shall be deemed to have been given only upon the delivery by Landlord to Tenant of a consent document prepared and executed by Landlord expressly consenting to such subletting. Landlord agrees not to unreasonably withhold or delay its response to a request made by Tenant to Landlord for approval of an assignment or a subletting or to unreasonably delay the preparation of the consent document and/or assignment document to be prepared by Landlord in connection with its consent to such assignment or subletting (if Landlord so consents to such assignment or subletting).

Landlord shall approve or disapprove of the proposed within ten (10) business days (the “Review Period”) after Landlord’s receipt of the applicable written notice regarding the Transfer. In the event that Landlord fails to either (i) notify Tenant in writing of such approval or disapproval or (ii) request further information regarding such Transfer from Tenant within such Review Period then, if Landlord fails to respond within three (3) business days after an additional notice so stating, Landlord shall be deemed to have approved such Transfer. Tenant agrees to pay Landlord, as Additional Rent, all costs incurred by Landlord in connection with any actual or proposed Transfer, including, without limitation, the costs of making investigations as to the acceptability of a proposed subtenant or assignee and legal costs incurred in connection with any requested consentconsent (not to exceed $1,000 per Transfer request). B. Landlord's ’s consent to an assignment of this Lease shall be effective upon the execution by Tenant, the assignee, and Landlord of an assignment document prepared by Landlord in which the assignee shall agree to assume, observe, perform, and be bound by, all of Tenant's ’s obligations under this Lease and Tenant shall agree to remain primarily liable for such obligations. Any consent by Landlord to a subletting of all or a portion of the Premises shall be deemed to have been given only upon the delivery by Landlord to Tenant of a consent document prepared and executed by Landlord expressly consenting to such subletting.
