Procedure for Payment of Indemnifiable Amounts. Following the final resolution, without any right of appeal, of a Proceeding, including the settlement thereof, Indemnitee shall submit to the Company a written request specifying the Indemnifiable Amounts, if any, for which Indemnitee seeks payment under Section 2 of this Agreement and the basis for the claim, and affirming Indemnitee's good faith belief that he has met the standard of conduct required under Tennessee law to be eligible to receive indemnification. The Company shall pay such Indemnifiable Amounts to which Indemnitee is entitled to Indemnitee within sixty (60) calendar days of receipt of the request. At the request of the Company, Indemnitee shall promptly furnish such documentation and information as are reasonably available to Indemnitee and necessary to establish that Indemnitee is entitled to indemnification hereunder.
