Common use of Procedure Upon Termination Clause in Contracts

Procedure Upon Termination. In the event of termination and abandonment by Buyer or Seller, or both, pursuant to Section 11.1 hereof, written notice thereof shall forthwith be given to the other party or parties, and this Agreement shall terminate, and the purchase of the Purchased Assets hereunder shall be abandoned, without further action by Buyer or Seller. If this Agreement is terminated as provided herein each party shall redeliver all documents, work papers and other material of any other party relating to the transactions contemplated hereby, whether so obtained before or after the execution hereof, to the party furnishing the same.

In the event of termination and abandonment by Buyer or Sellerthe Company, or bothas applicable, pursuant to Section 11.1 6.1 hereof, written notice thereof shall forthwith be given to the other party or parties, and the transactions contemplated by this Agreement shall terminate, and the purchase of the Purchased Assets hereunder shall be abandoned, terminated without further action by Buyer or Sellerthe Company. If the transactions contemplated by this Agreement is terminated as provided herein each are so terminated: 6.2.1 Each party shall will redeliver all documents, work papers and other material of any other party relating to the transactions contemplated hereby, whether so obtained before or after the execution hereofof this Agreement, to the party furnishing the same.

Procedure Upon Termination. If the transactions contemplated by this Agreement is are terminated and/or abandoned as provided herein herein: (a) each party shall hereto will redeliver all documents, work papers and other material (and all copies thereof) of any the other party relating to the transactions contemplated hereby, whether so obtained before or after the execution hereof, to the party furnishing the same; and (b) all confidential information received by either party hereto with respect to the business of the other Party hereto shall be treated in accordance with Section 8.1.

This Agreement shall in no event terminate with respect to the Sellers unless and until any and all amounts payable to Purchaser pursuant to Section 7.2 in connection with such proposed termination shall have been paid in full to Purchaser. In the event of termination and abandonment by Buyer Purchaser or SellerSellers, or both, pursuant to Section 11.1 hereof4.4, written notice thereof shall forthwith be given to the other party Party or partiesParties, and this Agreement shall terminate, and the purchase of the Purchased Assets hereunder shall be abandoned, without further action by Buyer Purchaser or SellerSellers. If this Agreement is terminated as provided herein herein, then each party Party shall redeliver all documents, work papers and other material materials of any other party Party relating to the transactions contemplated hereby, whether so obtained before or after the execution hereof, to the party Party furnishing the same.

If the transactions contemplated by this Agreement is are terminated and/or abandoned as provided herein herein, each party shall will redeliver all documents, work papers and other material of any other party relating to the transactions contemplated hereby, whether so obtained before or after the execution hereof, to the party furnishing the same.

In the event of termination and abandonment by Buyer or Sellerthe Company, or bothas applicable, pursuant to Section 11.1 6.1 hereof, written notice thereof shall forthwith be given to the other party or parties, and the transactions contemplated by this Agreement shall terminate, and the purchase of the Purchased Assets hereunder shall be abandoned, terminated without further action by Buyer or Sellerthe Company. If the transactions contemplated by this Agreement is terminated as provided herein each are so terminated: Each party shall will redeliver all documents, work papers and other material of any other party relating to the transactions contemplated hereby, whether so obtained before or after the execution hereofof this Agreement, to the party furnishing the same.. 7

If this Agreement is terminated as provided herein herein, each party shall redeliver all documents, work papers and other material of any other party relating to the transactions contemplated herebyTransactions, whether so obtained before or after the execution hereof, to the party furnishing the same.

If this Agreement is terminated as provided herein each party shall redeliver all documents, work papers and other material of any other party relating to the transactions contemplated hereby, whether so obtained before or after the execution hereof, to the party furnishing the same.

In the event of termination and abandonment by Buyer the Purchaser or Sellerthe Members’ Representative, or both, pursuant to Section 11.1 hereof3.2, written notice thereof shall forthwith be given to the other party or parties, and this Agreement shall terminate, and the purchase of the Purchased Assets Membership Interests hereunder shall be abandoned, without further action by Buyer the Purchaser, Members’ Representative or Sellerthe Seller Parties. If this Agreement is terminated as provided herein herein, each party shall redeliver all documents, work papers and other material of any other party relating to the transactions contemplated herebyTransactions, whether so obtained before or after the execution hereof, to the party furnishing the same.

In the event of termination and abandonment by Buyer Purchaser or Seller, or both, pursuant to Section 11.1 4.4 hereof, written notice thereof shall forthwith be given to the other party or parties, and this Agreement shall terminate, and the purchase of the Purchased Assets hereunder shall be abandoned, without further action by Buyer Purchaser or Seller. If this Agreement is terminated as provided herein each party shall redeliver all documents, work papers and other material of any other party relating to the transactions contemplated hereby, whether so obtained before or after the execution hereof, to the party furnishing the same.

Procedure Upon Termination. If this Agreement is terminated as provided herein each party shall redeliver return all documents, work papers and other material of any other party relating to the transactions contemplated hereby, whether so obtained before or after the execution hereof, to the party furnishing the same.

Procedure Upon Termination. In the event of termination and abandonment by Buyer or Seller, or both, pursuant to Section 11.1 4.2 hereof, written notice thereof shall forthwith be given by the Terminating Party to the other party or partiesparty, and this Agreement shall terminate, and the purchase obligations of the Purchased Assets Purchaser to purchase and the Seller to sell the TPC Shares hereunder shall be abandonedterminated, without further action by Buyer the Purchaser or the Seller. If this Agreement is terminated as provided herein herein, each party shall redeliver deliver to the other party all documents, work papers and other material of any other party relating to the transactions contemplated hereby, whether so obtained before or after the execution hereof, to the party furnishing the same.

In the event of termination and abandonment by the Buyer or Sellerthe Owners, or both, pursuant to Section 11.1 2.2 hereof, written notice thereof shall forthwith be given to the other party or parties, and this Agreement shall terminate, and the purchase of the Purchased Assets Units hereunder shall be abandoned, without further action by the Buyer or Sellerthe Owners. If this Agreement is terminated as provided herein each party shall redeliver all documents, work papers and other material of any other party relating to the transactions contemplated hereby, whether so obtained before or after the execution hereof, to the party furnishing the same.

In the event of termination and abandonment by Buyer or SellerSellers, or bothas applicable, pursuant to Section 11.1 6.1 hereof, written notice thereof shall forthwith be given to the other party or parties, and the transactions contemplated by this Agreement shall terminate, and the purchase of the Purchased Assets hereunder shall be abandoned, terminated without further action by Buyer or Seller. If Seller if the transactions contemplated by this Agreement is terminated as provided herein each are so terminated: 6.2.1. Each party shall will redeliver all documents, work papers and other material of any other party relating to the transactions contemplated hereby, whether so obtained before or after the execution hereofof this Agreement, to the party furnishing the same.

If this Agreement is terminated as provided herein herein, each party shall redeliver all documents, work papers and other material of any other party relating to the transactions contemplated hereby, whether so obtained before or after the execution hereof, to the party furnishing the same.
