Procedures for Defense Settlement and Indemnification of the Third Party Claims. Each Party hereto agrees that Section 6.8 of the Master Transaction Agreement is hereby incorporated by reference into and made a part hereof mutatis mutandis.
Procedures for Defense Settlement and Indemnification of the Third Party Claims i. The Indemnitee agrees to cooperate in all reasonable respects with the Indemnifying Party and its counsel in the defense against any Third Party Claim.
