Procedures Upon a Force Majeure. The Party claiming Force Majeure shall: a) promptly upon, but in any event no later than five (5) Days after the occurrence of the Force Majeure event that has delayed or prevented or is likely to delay or prevent the performance of any obligation under this Agreement, give the other Party written notice thereof describing the particulars of the Force Majeure event including (i) full details of the nature of the Force Majeure event, the date of occurrence, its good faith estimate of the likely duration of the suspension or reduction in performance, to the extent known or ascertainable, the estimated extent of the reduction in performance
