Common use of Proceedings and Documents Satisfactory Clause in Contracts

Proceedings and Documents Satisfactory. All proceedings in connection with the transactions contemplated by this Agreement and all certificates and documents delivered to the Seller in connection with the transactions contemplated by this Agreement shall be satisfactory in all reasonable respects to the Seller and its counsel, and the Seller shall have received the originals or certified or other copies of all such records and documents as the Seller may reasonably request.

Proceedings and Documents Satisfactory. All proceedings in connection with the transactions contemplated by this Agreement and all certificates and documents delivered to the Seller Buyer in connection with the transactions contemplated by this Agreement shall be satisfactory in all reasonable respects to the Seller Buyer and its the Buyer's counsel, and the Seller Buyer shall have received the originals or certified or other copies of all such records and documents as the Seller Buyer may reasonably request.

Proceedings and Documents Satisfactory. All proceedings in connection with the transactions contemplated by this Agreement and all certificates and documents delivered to the Seller Buyer in connection with the transactions contemplated by this Agreement shall be satisfactory in all reasonable respects to the Seller Buyer and its counsel, counsel and the Seller Buyer shall have received the originals or certified or other copies of all such records and documents as the Seller Buyer may reasonably request.

All proceedings in connection with the transactions contemplated by this Agreement hereby and all certificates and documents delivered to the Seller in connection with the transactions contemplated by Purchaser pursuant to this Agreement shall be satisfactory in all reasonable respects form and substance to the Seller Purchaser and its counsel, counsel acting reasonably and the Seller shall have received the originals or certified or other copies of all such records and documents as the Seller may reasonably requestin good faith.

All proceedings relating to, or in connection with with, the transactions contemplated by this Agreement and all certificates and documents delivered to the Seller Buyer which relate to, or are in connection with with, the transactions contemplated by this Agreement shall be satisfactory to the reasonable satisfaction in all reasonable respects to the Seller Buyer and its the Buyer’s counsel, and the Seller Buyer shall have received the originals or certified or other copies of all such records and documents as the Seller Buyer may reasonably request.

The Buyer shall have received good standing certificates with respect to the Company from such governmental authorities as reasonably requested by Buyer.

All proceedings in connection with the transactions contemplated by this Agreement and all certificates and documents delivered to the Seller Parties in connection with the transactions contemplated by this Agreement shall be satisfactory in all reasonable respects to the Seller Parties and its counsel, and the Seller Parties shall have received the originals or certified or other copies of all such records and documents as the Seller Parties may reasonably request.
