Common use of Proceedings and Other Documents Clause in Contracts

Proceedings and Other Documents. All corporate and other proceedings taken or required to be taken by the Company and any Guarantor in connection with the transactions contemplated by this Agreement and the other Transaction Documents to be consummated prior to the Closing shall have been taken, and the Lenders shall have received such other documents, in form and substance reasonably satisfactory to the Lenders and their counsel, as to such other matters incident to the transactions contemplated hereby as the Lenders may reasonably request.
