PROCEEDINGS OF THE BOARD OF DIRECTORS. The Board may meet together, upon at least 7 days prior notice, and adjourn their meetings and otherwise regulate their meetings and proceedings as they think fit. Notwithstanding, the Board shall meet, in any event at least every calendar quarter. A director shall be entitled to waive this notice requirement. The attendance of a director at a meeting of the Board shall in itself constitute such a waiver.
