Proceedings or Litigation. There are no actions, suits, or Proceedings pending or, to the Knowledge of Purchaser, threatened, which question the legality, validity or enforceability of this Agreement or any of the transactions contemplated hereby or that could, individually or in the aggregate, reasonably be expected to materially impair the ability of Purchaser to perform on a timely basis its obligations under this Agreement.
Proceedings or Litigation. Except as set forth on Schedule 3.1(f) attached hereto, to the Actual Knowledge of Seller, there are no ongoing or threatened proceedings, claims or litigation against Sandhill or against Seller relating to the execution, delivery or performance of this Agreement and the Transaction.
