Common use of Proceedings Satisfactory to Counsel Clause in Contracts

All proceedings taken by Purchaser and all instruments executed and delivered by Purchaser on or prior to the close of business on the Closing Date, in connection with the transactions herein contemplated, shall be reasonably satisfactory in form 12 73 and substance to Seller and its counsel.
