Common use of Proceedings Satisfactory to Counsel Clause in Contracts

Proceedings Satisfactory to Counsel. All proceedings taken by Seller and its subsidiaries and Designated Shareholder and all instruments executed and delivered by Seller and its subsidiaries and Designated Shareholder on or prior to the Closing Date in connection with the transactions contemplated hereby shall be reasonably satisfactory in form and substance to counsel for Buyer.

Proceedings Satisfactory to Counsel. All proceedings taken by Seller and its subsidiaries Buyer and Designated Shareholder Subsidiary and all instruments executed and delivered by Seller and its subsidiaries Buyer and Designated Shareholder Subsidiary on or prior to the Closing Date in connection with the transactions herein contemplated hereby shall be reasonably satisfactory in form and substance to counsel for BuyerSeller.

All proceedings taken by Seller Buyer and its subsidiaries and Designated Shareholder Merger Subsidiary and all instruments executed and delivered by Seller Buyer and its subsidiaries and Designated Shareholder Merger Subsidiary on or prior to the Closing Merger Date in connection with the transactions herein contemplated hereby shall be reasonably satisfactory in form and substance to counsel for BuyerCompany.
