Proceedings Satisfactory to Counsel. All proceedings taken by Seller and its subsidiaries and Designated Shareholder and all instruments executed and delivered by Seller and its subsidiaries and Designated Shareholder on or prior to the Closing Date in connection with the transactions contemplated hereby shall be reasonably satisfactory in form and substance to counsel for Buyer.
