Common use of Proceeds of Crime Clause in Contracts

Proceeds of Crime. The funds representing payment of the Principal Amount advanced by the Purchaser hereunder do not represent proceeds of crime for the purposes of the Proceeds of Crime (Money Laundering) and Terrorist Financing Act (Canada) (the “PCMLA”), and the Purchaser acknowledges that the Corporation may in the future be required by law to disclose the names of the Purchaser and other information relating to this Agreement and the subscription hereunder, on a confidential basis, pursuant to the PCMLA. To the best of the knowledge of the Purchaser: (a) none of the subscription funds to be provided to pay the Initial Issue Price or the Second Issue Price, as the case may be: (i) has been or will be derived from or related to any activity that is deemed criminal under the laws of Canada, the United States or any other jurisdiction; or (ii) are being tendered on behalf of a person or entity who has not been identified to the Purchaser; and (b) the Purchaser shall promptly notify the Corporation if any of them discovers that any of such representations ceases to be true, and will provide the Corporation with all appropriate information in connection therewith.

The funds representing payment the aggregate Purchase Price in respect of the Principal Amount Units that will be advanced by such Investor to the Purchaser Company hereunder do will not represent proceeds of crime for the purposes purpose of the Proceeds of Crime (Money Laundering) and Terrorist Financing Act (Canada) (the “PCMLAPCMLTF Act”), and the Purchaser such Investor acknowledges that the Corporation Company may in the future be required by law to disclose the names of the Purchaser Investor’s name and other information relating to this Agreement and the such Investor’s subscription hereunder, on a confidential basis, pursuant to the PCMLA. To PCMLTF Act; to the best of the knowledge of the Purchaser: (a) such Investor’s knowledge, none of the subscription funds to be provided to pay the Initial Issue Price or the Second Issue Price, as the case may be: hereunder (i) has have been or will be derived obtained or derived, directly or indirectly, from or related to any activity that is deemed criminal illegal under the laws of Canada, Canada or the United States or any other jurisdiction; or , or (ii) are being tendered on behalf of a person or entity who has not been identified to the Purchaser; and (b) the Purchaser such Investor.
