Proceeds Regulations. No proceeds of any Advances will be used by the Borrower, the Parent or any of its Subsidiaries (i) to acquire any security in any transaction which is subject to Section 13 or 14 of the Securities Exchange Act of 1934, as amended or (ii) for the purpose of purchasing or carrying any “margin stock” as such term is defined in Regulation U of the Federal Reserve Board.
