The "Processing of Materials" clause defines the rules and responsibilities related to how materials are handled, transformed, or treated during the course of a contract or project. Processing of materials. If the Customer provides ▇▇▇▇-paperform with materials for proc- essing, the following supplementary provisions shall apply:
1. Material of any kind that is procured by the Customer shall be delivered to ▇▇▇▇-paperform free domicile.
2. On delivery, the goods to be processed will only be inspected by ▇▇▇▇-paperform for defects and damage which are externally

4. If the goods provided to ▇▇▇▇-paperform prove to be unusable due to material defects, the processing costs expended by ▇▇▇▇- paperform shall be refunded.
5. In the event that the material is provided by the Customer, the packaging material and the waste due to unavoidable loss and the like shall remain with ▇▇▇▇-paperform.
6. In the case of data provided by the Customer, these must be created and formatted in accordance with ▇▇▇▇-paperform’s specifications. If this is not done, the Customer shall not have any right of complaint.
7. ▇▇▇▇-paperform will not accept liability for damage caused by incorrect labelling and identification of the goods supplied by the Customer.
8. The Customer undertakes to reimburse ▇▇▇▇-paperform for all damages including loss of profit which ▇▇▇▇-paperform incurs as a result of its being supplied with material which is not suitable for processing.

7. In the case of digital originals/data provided by the Customer, these must be created and formatted in accordance with ▇▇▇▇▇’▇ specifications. If this is not done, the Customer shall not have any right of complaint.

Processing of materials. Contractor shall be solely responsible for the processing of all commingled recyclables collected by the County. Contractor shall process all the commingled recyclables in accordance with any and all federal, state and local government statutes, rules and regulations. Contractor warrants that it has and shall maintain during the Term all governmental permits, consents and approvals required to process the commingled recyclables.

1. Material of any kind that is procured by the Customer shall be delivered to CCL-STU free domicile.
2. On delivery, the goods to be processed will be inspected by CCL-STU only for externally visible defects and damage. CCL-STU shall not be obliged to conduct any more extensive inspections. Any defects or damage found will be re- ported to the Customer within 10 working days of the discovery of the defect.
3. The goods ceded to CCL-STU must be made of an easily processable material of suitable quality. If these conditions are not met, CCL-STU will advise the Customer of the additional expense required and the resulting price increase. If the Customer does not consent to the change in price, it shall have the right to withdraw from the contract. Withdra- wal must take place immediately after notification by CCL-STU of the changed requirements. If the Customer declares withdrawal, it shall provide reasonable compensation for the expense already incurred.
4. If the goods provided to CCL-STU prove to be unusable due to material defects, the processing costs expended by CCL-STU shall be refunded.
5. If the Customer provides material, the packaging material, and the waste due to unavoidable loss in the context of printing form equipment and production run, processing by trimming, punching and the like shall remain with CCL-STU.
6. If the Customer provides printed films, this shall be only in conjunction with corrected press proofs.
7. In the case of digital originals/data provided by the Customer, these must be created and formatted in accordance with CCL-STU’s specifications. If this is not done, the Customer shall not be entitled to make a defect complaint. In the case of data transmission, the Customer shall install state-of-the-art anti-virus computer programs before trans- mission. Data backups are the responsibility of the Customer alone. CCL-STU shall be entitled to make a copy.
8. CCL-STU will not accept liability for damage caused by incorrect labeling and identification of the goods supplied by the Customer.
9. The Customer undertakes to reimburse CCL-STU for all losses including loss of profit incurred by the latter as a result of material not suitable for processing being ceded to CCL-STU.
10. CCL-STU shall not pay compensation for the amount of scrap produced that is normal in the industry.

(a) Manufacturer shall Process the TA-1 in accordance with the Specifications and all applicable laws and regulations including without limitation current Good Manufacturing Practices ("cGMP"). Before, during and after each Processing, Manufacturer shall monitor the Processing and Processing environment and keep such records as all of the foregoing are required by the Specifications and cGMP. In accordance with cGMP and during the term of this Agreement, Manufacturer shall (i) take all steps necessary to ensure that any Finished Product that may be produced by it pursuant to this Agreement shall be free of cross-contamination from any other manufacturing or similar activities and (ii) be responsible for validated cleaning and changeover procedures prior to manufacturing any Finished Product for Customer.
