Procure Sample Clauses
Procure. Company must be capable of procuring printed materials per Microsoft provided specifications and in quantities to meet Microsoft's finished goods production requirements and Less Than Finished Goods component order requirements.
Procure. A tenant is procured when a lease of all or part of the Property is entered into between the Owner and a tenant or when a 240 ready, willing and able tenant submits a written lease proposal at substantially the terms specified in this Listing. A tenant is ready, 241 willing and able when the tenant submitting the written lease proposal has the ability to complete the tenant's obligations under the 242 lease. See lines XXX-XXX.
Procure. (1) The passing by the board of directors of the Company of a resolution to register the transfer referred to in sub-clause 5.2.1
(1) subject only to due stamping and, additionally, the transaction of the other business referred to in the completion board minutes in the Agreed Terms;
(2) Such persons as the Purchaser may nominate to be validly appointed as additional directors of the Company and upon such appointment forthwith cause the directors and secretary of the Company to retire from their respective offices and (other than J.K.▇▇▇▇▇, A. R▇▇▇▇▇▇▇▇ ▇▇▇ S. H▇▇▇▇▇▇▇) ▇▇ employees;
(3) The release of the Company from all banking arrangements of the Vendor's Group including without limitation all bank accounts involving joint or joint and several liability with any Member of the Vendor's Group, all guarantees and indemnities given by the Company in respect of the obligations of Members of the Vendor's Group and all securities and authorities given by the Company in respect thereof and in the meantime will indemnify and keep indemnified the Company against any liability (including costs damages and expenses) which the Company may suffer under or in relation to such guarantees and indemnities;
Procure. (i) the registration (subject to being duly stamped) of the transfers referred to in Sections 6.19
(a) (i) and (ii) notwithstanding any provision to the contrary in the articles of association of UK Entities;
(ii) the valid appointment as additional directors of each UK Target such persons as may be directed by Purchaser upon one day's notice prior to the Closing Date;
(iii) the valid appointment as chairman of each UK Entity such persons as may be directed by Purchaser upon one day's notice prior to the Closing Date;
(iv) that the existing directors each cease to be a director of each UK Entity and deliver to the Purchaser a duly executed and delivered resignation letter;
(v) that each existing secretary ceases to be secretary of each UK Entity and delivers to Purchaser a duly executed and delivered resignation letter;
(vi) the appointment as the Secretary of each UK Target such persons as may be directed by Purchaser upon one day's notice prior to the Closing Date; and
(vii) so far as required by the Purchaser the revocation of all authorities to the bankers of each UK Target relating to bank accounts and authorise such persons as the Purchaser may nominate to operate the same.
